--By accepting the terms and conditions of the auction: If Purchaser(s) fail to close, Purchaser(s) agrees that Broker is a Third-Party Beneficiary of this Agreement due any damages from the breach, including but not limited to all costs of the sale and any commissions due from the sale, and those damages are enforceable against the Purchaser(s) irrespective and independent of any action taken by the Seller. Any action by Seller or Broker to enforce any rights provided under this agreement shall include all costs of collection and reasonable attorney’s fees. Purchaser(s) agree that Clinton County, Kentucky shall be the venue for any action related to this sale. The laws of the State of Kentucky shall apply.
